- Corporate Management and Finance:
We provide advice on all aspects of corporate, business and commercial law.
And help our clients organise, reorganise and dissolve corporations and partnerships;
merge, acquire and sell businesses, restructure revolving term loans and other credit
arrangements; structure venture capital financing, leveraged buy-outs and joint ventures;
negotiate management and employment agreements, etc.
We have recently been engaged by a multinational corporation to prepare a Director’s Handbook on Company Administration with special emphasis on corporate regulatory compliance. - Taxation:
Our tax practice is tied to our work in corporate law, banking and finance, etc.
and includes advising clients on how to benefit from the various tax legislation/incentives
offered by the government in order to create an enabling environment for investors.
The firm has expertise in all aspects of taxation particularly personal and company’s income tax, capital gains tax, stamp duties as well as value added tax. A member of our firm has written extensively on various aspects of taxation including fiscal federalism, income taxation, sales taxation, etc. We have also represented many corporate entities on tax litigation before the courts. - Corporate Insolvency and Bankruptcy: The firm has expertise in the application of bankruptcy and insolvency laws to commercial transactions and corporate reorganisations including their use as a recovery devise in commercial litigation. In addition to the above, we can represent creditors (secured or unsecured lenders) and trade creditors in bankruptcy proceedings.
